End User License Agreement

1. Grant of licence

Subject to your compliance with this EULA and, where applicable, an active licence key, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to:

• install and run the DAAAM desktop application on devices you own or control (up to the number of seats in your licence); and
• use the software and documentation for your personal or internal business purposes of managing your own video and photo libraries.

This is a licence to use the software, not a sale. All rights not expressly granted are reserved.

2. What the software does

DAAAM is a local-first digital asset management tool. It ingests your media, extracts proxy frames and audio on your device, uses AI (Qwen2-VL and Whisper, running locally or optionally via our Cloud Vision service) to make your library searchable, and stores everything in a local SQLite database on your device. Your original files are never uploaded. See our Privacy Policy and Terms of Service for full details.

3. Licence restrictions

You must not:

• reverse-engineer, decompile, or disassemble the software, except where mandatory law requires it;
• copy, redistribute, sell, rent, sublicense, or transfer the software to any third party;
• modify or create derivative works of the software;
• remove or obscure any copyright, trademark, or attribution notice;
• circumvent any licensing, activation, metering, or security mechanism;
• use the software to build a competing product; or
• use the software in violation of applicable law or in high-risk environments where failure could cause death or injury.

4. Updates

Your license includes one year of free updates from the purchase date. After that period, the software continues to work; updates beyond one year may require purchasing a new licence. We may add, change, or remove features over time. This EULA governs all updates unless an update is accompanied by separate licence terms.

5. Third-party and open-source components

The software includes open-source libraries and locally executed AI models, including Qwen2-VL (Apache 2.0),Whisper (MIT), and various other open-source libraries. Each is licensed under its own terms. Those terms are available on request at support@daaam.media. Where a component's licence grants you rights that conflict with this EULA, the component's licence governs that component only.

6. Optional cloud connections

The software may optionally connect to our Cloud Vision service (proxy frames sent to our control plane, processed via Google Gemini) and to third-party services for location enrichment (Open-Meteo, Nominatim). These connections are disabled by default and only active when you explicitly enable them. Each third-party service operates under its own terms; you are responsible for reviewing and accepting them.

7. AI functionality

The software uses artificial intelligence for image captioning and audio transcription. You acknowledge that:

• AI outputs may be inaccurate and must be reviewed before reliance;
• the software performs no facial recognition and creates no biometric data; and
• we do not use your media or AI outputs to train our models.

8. Local data responsibility

The software is local-first. Your media, database, proxy frames, transcripts, and metadata are stored on your own device.We cannot access, retrieve, or recover your local data. You are solely responsible for backing it up, securing your device, and managing access to your library.

9. Ownership and intellectual property

The software is licensed, not sold. DAAAM / Munashe Chitima and our licensors own all rights in the software, documentation, and updates, including all intellectual property rights. You retain all rights in your own media and local data. "DAAAM" and associated logos are our trademarks and may not be used without written permission.

10. Warranty disclaimer

To the maximum extent permitted by applicable law, the software is provided "as is" and "as available", with all faults and without warranty of any kind. We disclaim all implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the software will be error-free or that AI outputs will be accurate.

Where law (including the Australian Consumer Law) provides guarantees that cannot be excluded, they continue to apply to the maximum extent available.

11. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising from this EULA or the software will not exceed the greater of the amount you paid us for the software in the 12 months preceding the claim, or USD 100. We will not be liable for indirect, incidental, consequential, or punitive damages, or for loss of data (including local data), revenue, or goodwill.

Nothing here excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by applicable law.

12. Termination

This licence terminates automatically if you breach any term. You may terminate at any time by deleting all copies of the software. On termination, your licence ends and you must cease use and delete all copies. Your local data remains on your device under your control. Sections 3, 5, 9, 10, 11, and 13 survive termination.

13. Governing law

This EULA is governed by the laws of Victoria, Australia. The courts of Victoria have non-exclusive jurisdiction, except that we may seek injunctive relief anywhere to protect intellectual property rights. If you are a consumer, you may also benefit from mandatory provisions of the law of your country of residence.
